The Corporate Counsel-North America will be responsible for establishing the legal function for the North America region, supporting and advancing, the company’s strategic initiatives and growth plans. This will include providing legal support in a variety of areas such as drafting and negotiating commercial contracts, legal/business entity formation, corporate governance, and compliance, in a complex, diverse and regionally dispersed organization. This position reports to the VP of Finance NAM & LATAM and will be hybrid based in our Schaumburg, IL headquarters.
Your Responsibilities
- Provide accurate and timely counsel to executives in a variety of legal topics (contract law, business formation, corporate finance, commercial activities, business partnerships and joint ventures etc.).
- Apply internal governance policies and regularly monitor and report compliance; proactively advise on possible legal issues.
- Research and evaluate different risk factors regarding business decisions and operations.
- Communicate and negotiate with external parties (regulators, external counsel, public authority etc.).
- Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights.
- Deal with complex matters with multiple stakeholders and forces.
- Provide clarification on legal language or specifications to key internal clients/stakeholders.
- Maintain current knowledge of changes in legislation.
- Develop practical business solutions to advance business objectives, minimize risks and ensure legal compliance.
- Draft, negotiate and managing contracts and provide quick, concise legal advice in connection with such arrangements.
- Coordinate with external legal counsel.
Your Qualifications
- JD degree required, with 3-5 years of relevant legal experience in a business to business environment.
- Ability to manage multiple tasks independently; adapt to rapidly changing priorities.
- Excellent knowledge and understanding of corporate law.
- High degree of professional ethics and integrity.
- Sound judgement and ability to analyze situations and information.
- Outstanding communication skills
- Ability to work in a dynamic environment, within a cross-functional team.
- Economic thinking and strong understanding of commercial parameters along a company’s value chain.
